BIGEQ Terms of Use

These Terms of Use ("Terms") are a legal agreement between you and BIGEQ, LLC ("BIGEQ," "we," "us," or "our") governing BIGEQ.com, the BIGEQ Horse Sales mobile application, emails, and related services (collectively, the "Services").

1. Acceptance, eligibility, and changes

You must be at least 18 years old and legally capable of entering a contract to create an account, place a listing, contact a seller, purchase a Service, or otherwise use an account feature. A minor may browse public pages only with the involvement and supervision of a parent or legal guardian. By selecting an unchecked box or another conspicuous control stating that you agree to these Terms, you accept them. If you do not agree, do not use the Services.

The Privacy Policy (https://bigeq.com/page/privacy-policy/) explains how BIGEQ handles personal information. Additional terms presented for a specific feature, promotion, application marketplace, payment, or service also apply. If specific additional terms conflict with these Terms, the specific terms control for that feature unless they say otherwise.

We may update these Terms by posting revised Terms with a new effective date. Revised Terms apply from that effective date. We will provide additional notice or obtain renewed agreement when required by applicable law.

2. The Services and BIGEQ's marketplace role

BIGEQ provides classified advertising and communication tools for horse and pony sales, leases, stallion services, equestrian barns and services, and other permitted offerings. BIGEQ may also provide memberships, listing tools, seller analytics, saved searches, favorites, messaging, payment features for BIGEQ's own fees, and AI-assisted listing tools.

BIGEQ is not a horse broker, dealer, auctioneer, veterinarian, trainer, transporter, escrow provider, or party to a transaction between users. Unless we expressly say otherwise for a separate service, BIGEQ does not:

- own, possess, inspect, train, examine, value, insure, transport, or hold title to a listed horse;
- negotiate or enter the sale, lease, breeding, boarding, training, or other agreement between users;
- process or hold the purchase price for a horse or a user's off-platform transaction;
- guarantee a user's identity, authority, ownership, financial ability, or intentions;
- verify a listing's health, soundness, show record, breeding, height, age, price, availability, suitability, photographs, video, or other claims; or
- guarantee that a listing will result in a sale, lease, inquiry, or other outcome.

Information about a listing is supplied or adopted by the user who publishes it, even when BIGEQ provides formatting, spelling assistance, structured fields, or an AI-assisted drafting tool. BIGEQ may review, format, moderate, label, or remove content, but is not obligated to monitor every listing or communication.

To the fullest extent permitted by law, BIGEQ may modify, limit, suspend, or discontinue all or any part of the Services at any time, with or without notice and without liability. This does not limit any notice, refund, or other right that BIGEQ expressly provides in these Terms or that applicable law does not allow to be waived.

3. Accounts and security

You agree to provide accurate, current, and complete account information and keep it updated. You may not create an account for someone else without authority, impersonate another person or entity, evade a suspension, or use misleading identity or contact information.

You are responsible for safeguarding your credentials and, to the fullest extent permitted by law, for all activity that occurs under your account, whether or not you authorized it. Contact BIGEQ (https://www.bigeq.com/contact/) promptly if you suspect unauthorized access. Except where liability cannot lawfully be excluded, BIGEQ is not liable for loss or damage arising from unauthorized use of your account or your failure to safeguard your credentials. BIGEQ may investigate disputed activity and request reasonable verification.

You may not sell, transfer, rent, or share an account or credentials, except through an approved delegated-access feature expressly provided by BIGEQ. We may require email verification, additional authentication, identity information, or other reasonable measures to protect users and the Services.

4. Listings and seller responsibilities

When you submit or publish a listing, you represent and warrant that:

- you are authorized to list the horse, animal, item, property, or service and to communicate and transact concerning it;
- you have the rights and permissions required for all text, photographs, videos, music, names, likenesses, testimonials, records, logos, and other content you submit;
- the listing is accurate, current, complete in all material respects, and not misleading by statement, omission, editing, staging, or synthetic alteration;
- photographs and videos in an individual horse listing show the actual horse identified in that listing, are reasonably current, and accurately represent the horse's present appearance and condition;
- the stated price, availability, location, ownership or agency status, and material terms are accurate, and you will promptly update, mark sold or leased, or remove the listing when they change;
- claims concerning age, height, breed, registration, health, soundness, veterinary history, medication, behavior, training, show record, performance, suitability, and condition have a reasonable basis and do not conceal a known material issue;
- you will comply with applicable animal-welfare, advertising, consumer, tax, sanctions, export, import, transportation, licensing, and other laws; and
- you will not use a listing to create fake scarcity, manipulate ranking or engagement, divert users to a scam, collect improper fees, or advertise an unrelated horse, business, or service.

An individual horse listing must concern the horse identified in that listing unless BIGEQ expressly allows another format. A barn or service listing must concern the service identified in that listing. You may not charge a prospective buyer merely for access to information that should reasonably be part of the advertised offering.

Listings may include contact information necessary to inquire about the advertised horse. Contact areas, descriptions, photos, videos, and other listing content may not be used to promote or direct users to another horse-sales marketplace, classified service, or competing platform, including through URLs, social-media handles, QR codes, promotional language, or similar references.

BIGEQ may request information reasonably related to authority, identity, listing accuracy, or compliance. Any review is limited and is not a warranty, endorsement, certification, or substitute for the buyer's investigation.

5. Buyers, transactions, and safety

Transactions and related negotiations are solely between the buyer and seller. You are responsible for evaluating the other party and the proposed transaction, using a written agreement, understanding all fees and taxes, and choosing a secure payment method.

Before buying, leasing, breeding, boarding, training, transporting, or otherwise relying on a listing, independently confirm information important to your decision. BIGEQ strongly recommends an independent pre-purchase examination by the buyer's equine veterinarian and, where appropriate, independent verification of identity, ownership, registration, show records, insurance, liens, import/export status, and payment instructions.

Be alert to requests for unusual payment methods, urgency, overpayments, payment outside an agreed process, changes to wiring instructions, refusal of an independent examination, requests for authentication codes, and offers that appear too good to be true. Do not meet an unknown person alone or in an unsafe location. Report suspected fraud to BIGEQ and appropriate financial institutions or authorities.

BIGEQ is not a records-storage or backup service. Keep your own copies of listings, messages, veterinary information, agreements, receipts, payment records, and other transaction materials you may need. Content may become unavailable after a listing expires or is removed, an account closes, or the Services change.

BIGEQ does not provide refunds or compensation for money, horses, goods, or services exchanged between users.

6. Messages, inquiries, and contact information

Contact information obtained through BIGEQ may be used only for a genuine inquiry or transaction concerning the relevant listing, unless the recipient separately consents to another use. You may not harvest, sell, disclose, enrich, append, or use another user's contact information for unrelated marketing, lead generation, profiling, model training, harassment, or unlawful purposes.

You may not send spam, deceptive inquiries, automated or bulk inquiries, repetitive messages, solicitations unrelated to a listing, or messages after a recipient asks you to stop. BIGEQ may apply rate limits, verification, warnings, filtering, reporting tools, and other abuse controls.

BIGEQ cannot guarantee that a recipient will keep contact information or a message confidential. Messages may be retained and reviewed as described in the Privacy Policy, including when necessary to address a report, fraud, safety issue, dispute, or legal obligation.

7. Listing fees, payments, and refunds

You agree to pay the price, taxes, and other charges clearly disclosed before you confirm a purchase from BIGEQ. Payments to BIGEQ are for advertising, memberships, or other BIGEQ Services-not for the purchase price of a horse or an off-platform transaction between users.

Except as stated below or required by law:

- a one-time listing fee is non-refundable after the listing is submitted, including when the horse sells early, the user cancels, information is entered incorrectly, or the listing does not produce an inquiry or sale;
- if BIGEQ rejects or removes a one-time paid listing solely because BIGEQ determines that it falls outside the category or quality of listing BIGEQ accepts-and not because of the user's breach, misrepresentation, prohibited content, or unlawful conduct-BIGEQ will refund that listing fee to the original payment method;
- removal, suspension, or loss of a listing because of a violation does not entitle the user to a refund;
- subscription fees are governed by Section 8 and are not automatically refunded merely because an individual listing is removed; and
- BIGEQ may issue a discretionary credit or refund without creating an obligation to do so in another case.

Refunds, when required, will be submitted to the original payment method within 5 business days. Your financial institution may take additional time to post them.

8. BIGEQ+ and recurring subscriptions

Before you enroll in a recurring subscription, BIGEQ will clearly disclose the recurring price, billing frequency, when charges begin, the method of renewal, how to cancel, and any material limitation. By selecting the purchase control, you provide affirmative consent to the recurring charge. BIGEQ will retain evidence of that consent and provide a confirmation containing the material terms and cancellation instructions.

BIGEQ+ is a month-to-month subscription that continues until canceled. Unless you cancel before your next renewal charge, BIGEQ will charge the disclosed monthly price, plus applicable taxes, for another one-month period. BIGEQ will provide a receipt after each recurring charge and any annual or other advance notices required by applicable law. These Terms do not promise a separate advance reminder before every monthly renewal.

You may cancel through the BIGEQ+ area of your account. BIGEQ will make cancellation at least as easy to access and use as enrollment and will provide other cancellation methods when required by law. Cancellation stops future renewal charges right away. You keep your paid access and subscription benefits until the end of the period you already paid for, and BIGEQ will not charge another renewal.

Except where required by law or expressly stated in a promotion, subscription charges already paid are non-refundable and are not prorated. Removal of an individual listing does not, by itself, terminate the subscription.

If a payment method fails, BIGEQ may retry the charge as disclosed, request an updated method, restrict paid features, or allow the subscription to expire. We will not collect an amount that was not disclosed and authorized.

9. User content and license to BIGEQ

"User Content" means listings, messages, photographs, videos, audio, text, reviews, testimonials, records, and other material a user submits, publishes, transmits, or makes available through the Services. You retain any ownership rights you have in your User Content.

You grant BIGEQ a non-exclusive, worldwide, royalty-free license, with the right to sublicense to service providers and distribution partners, to host, store, reproduce, format, adapt for display, translate, transmit, publish, publicly display, publicly perform, moderate, and distribute User Content as reasonably necessary to:

- operate, secure, troubleshoot, and improve the requested Services;
- display and promote your listing through BIGEQ's website, app, email, social channels, permitted feeds, search engines, and advertising for BIGEQ or the listing;
- create thumbnails, excerpts, accessibility formats, and device-appropriate versions;
- investigate reports, enforce these Terms, and comply with law; and
- retain limited archival, evidentiary, backup, and business records as described in the Privacy Policy.

This license begins when you submit the User Content and continues while needed for those purposes. For public listing and promotional use, it ends within a commercially reasonable wind-down period after deletion or expiration, except for copies already shared at your direction, cached by independent third parties, contained in backups, or retained for legal, safety, fraud, dispute, or enforcement reasons.

This service and promotional license does not authorize BIGEQ to use User Content to train a general-purpose AI model. Any materially different model-training use requires a separate prospective notice and any consent or license required by law.

You represent that BIGEQ's permitted use will not violate another person's intellectual-property, privacy, publicity, contractual, or other rights. You remain responsible for royalties, permissions, releases, and other obligations relating to your User Content.

10. BIGEQ AI features

BIGEQ may offer AI-assisted tools that extract, organize, edit, review, or suggest listing content. Before sending input to an external AI provider, BIGEQ will provide a point-of-use notice identifying the processing in a reasonably clear manner and linking to relevant privacy information.

AI output may be inaccurate, incomplete, outdated, biased, non-unique, or inappropriate. It is a drafting aid-not a verification, appraisal, veterinary opinion, legal opinion, guarantee, or recommendation. AI output does not establish identity, ownership, health, soundness, show record, value, suitability, availability, or legal compliance.

You must review, correct, and affirm the accuracy of AI-assisted content before publication. When you publish or adopt the output, it becomes your User Content and you remain responsible for it. BIGEQ may provide a non-AI method of creating a listing.

You may not submit credentials, payment-card data, unnecessary confidential information, information about a minor, or third-party personal or veterinary information you lack authority to provide. BIGEQ may block input, withhold output, require human review, label AI-assisted content, or discontinue an AI feature for safety, quality, legal, or operational reasons.

To the extent permitted by law, BIGEQ does not promise that AI output is copyrightable, exclusive, or free of third-party rights. You may report a harmful or materially incorrect AI result through BIGEQ's Contact Us page (https://www.bigeq.com/contact/).

11. User-created AI and synthetic media

Permitted use of AI must comply with these Terms. You may use AI for ordinary drafting, translation, cropping, color correction, background removal, or similar assistance if the resulting listing remains accurate and not misleading.

You must clearly disclose content that is materially generated or altered by AI when the generation or alteration could reasonably mislead a viewer about a horse, person, property, event, performance, condition, statement, or other fact. If BIGEQ provides a disclosure field or provenance mechanism, you must use it and may not remove or conceal the disclosure.

You may not use AI or synthetic media to:

- fabricate or materially alter a horse's appearance, movement, performance, health, soundness, show record, breeding, identity, ownership, location, or availability;
- impersonate a person or use a person's image, likeness, or voice without required permission;
- create a fake review, testimonial, endorsement, social indicator, document, veterinary record, registration record, or conversation;
- deceive, defraud, harass, exploit, or violate intellectual-property, privacy, publicity, or other rights.

BIGEQ may add or preserve labels, provenance information, or other context and may remove content that it reasonably believes violates this section.

12. Automated access and AI agents

Automated agents are not authorized unless BIGEQ expressly approves them in writing or provides a designated interface for them. Any approved automated access is limited to the data, actions, purposes, users, and technical limits that BIGEQ specifies. Ordinary access by a person using a web browser or email client is permitted. BIGEQ may also permit search indexing, social previews, accessibility tools, and security research authorized in writing.

The fact that a URL or listing is publicly reachable, appears in a sitemap, or is not blocked by robots.txt does not grant permission to copy, republish, sell, train on, or commercially exploit the content.

Without BIGEQ's prior written permission, you may not use any robot, spider, scraper, crawler, browser automation, AI system, data-mining tool, or other automated means to:

- scrape, harvest, extract, download, monitor, or compile listings, media, prices, messages, contact information, seller analytics, or account data in bulk;
- build or improve a model, dataset, search product, competing marketplace, pricing product, lead list, directory, profile, or commercial intelligence product from BIGEQ content;
- reproduce, republish, syndicate, mirror, frame, sell, license, or commercially exploit BIGEQ or User Content;
- create accounts, share or use harvested credentials, impersonate a person, post listings, submit forms, send messages or inquiries, or contact users automatically;
- bypass authentication, robots instructions, rate limits, CAPTCHAs, technical controls, access restrictions, or suspensions;
- rotate accounts, network addresses, devices, or identifiers to avoid a limit or detection; or
- interfere with the Services or impose an unreasonable load.

Approval for one automated use or purpose does not authorize another.

13. Other prohibited conduct

You may not use the Services to:

- violate law or another person's rights;
- submit unlawful, threatening, abusive, harassing, defamatory, hateful, pornographic, obscene, invasive, exploitative, or harmful content;
- impersonate another person or entity or misrepresent an affiliation, identity, verification, ownership, authority, or endorsement;
- make a false, deceptive, misleading, unsubstantiated, or bait-and-switch statement;
- post personal information about another person without authority;
- infringe copyright, trademark, trade-secret, privacy, publicity, contractual, or other rights;
- create or disseminate malware, malicious code, phishing, spam, chain letters, pyramid schemes, or unsolicited commercial messages;
- manipulate reviews, testimonials, rankings, metrics, seller analytics, scarcity, engagement, or social indicators;
- offer an incentive conditioned on a positive review, conceal a material reviewer relationship, suppress an honest review through intimidation, or submit an AI-generated or otherwise fake review;
- offer or promote a raffle, lottery, sweepstakes, giveaway, or other chance-based transfer of a horse;
- offer, promote, arrange, or conduct a sale, lease, transport, treatment, or other activity involving a horse in violation of applicable animal-welfare, health, quarantine, import, export, or transport laws;
- stalk, threaten, harass, discriminate against, or repeatedly contact someone who has asked not to be contacted;
- probe, scan, disrupt, overload, reverse engineer, or gain unauthorized access to the Services or another account;
- resell access to the Services or use BIGEQ data for an unauthorized commercial purpose; or
- post nonconsensual intimate imagery, sexually explicit content involving another person, or deceptive digital forgeries involving a person.

14. Moderation, enforcement, and appeals

To the fullest extent permitted by law, BIGEQ may, in its sole discretion and at any time, for any lawful reason or without stating a reason, refuse, edit, label, limit, demote, unpublish, preserve, or remove content; restrict communications or features; suspend or terminate an account; cancel a transaction with BIGEQ; block technical access; notify affected users; or refer a matter to a provider, rights holder, payment network, or authority. BIGEQ may take these measures immediately, with or without advance notice and without liability. This does not limit any notice, refund, or other right that BIGEQ expressly provides in these Terms or that applicable law does not allow to be waived.

BIGEQ is not obligated to monitor all content or resolve every dispute between users. Enforcement decisions may consider the content, context, severity, repetition, risk, available evidence, applicable law, and prior activity.

A user may ask BIGEQ to review a content or account enforcement decision through the Contact Us page (https://www.bigeq.com/contact/). Include enough information to identify the account, listing, content, or decision and explain the requested correction. BIGEQ may withhold details when reasonably necessary for safety, security, fraud prevention, or legal compliance. This does not limit any nonwaivable legal right.

15. Reporting and takedown procedures

A. General reports

Most reports and requests may be submitted through BIGEQ's Contact Us page (https://www.bigeq.com/contact/), including content concerns, AI-related concerns, refund questions, and privacy requests. BIGEQ reviews and responds to requests as required by applicable law.

BIGEQ does not provide emergency services or continuously monitor reports. If a horse or person is in immediate danger, contact local law enforcement, animal control, emergency services, or the appropriate animal-welfare authority. You may also report the listing to BIGEQ for platform review.

B. Copyright concerns

If you believe content on BIGEQ infringes your copyright, submit a report through BIGEQ's Contact Us page (https://www.bigeq.com/contact/). Please identify the copyrighted work, the listing or content at issue, your contact information, and why you believe the use is unauthorized. You must be the copyright owner or authorized to act for the owner. BIGEQ may remove or restrict the reported content, request additional information, notify the affected user, or take other appropriate action. BIGEQ may suspend or terminate users who repeatedly violate intellectual-property rights.

16. Third-party services and mobile application

The Services may link to or integrate payment providers, app stores, video hosts, social networks, messaging applications, websites, and other third-party services. BIGEQ does not control and is not responsible for an independent third party's content, availability, security, terms, privacy practices, products, or services. Your dealings with that party are between you and the third party.

Mobile use may involve data or carrier charges for which you are responsible. If you enable push notifications, you can disable them through your device settings. Additional app-store terms may apply to downloading and using the mobile application.

17. BIGEQ intellectual property

The Services, excluding User Content, including BIGEQ software, design, selection, organization, graphics, databases, trademarks, logos, and other materials, are owned by BIGEQ or its licensors and protected by law. Subject to these Terms, BIGEQ grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the user-facing Services for their intended purpose.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, sublicense, publicly display, reverse engineer, or create derivative works from the Services. No right is granted by implication. BIGEQ and its logos and slogans are trademarks of BIGEQ, LLC or their respective owners.

18. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." BIGEQ DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.

BIGEQ DOES NOT WARRANT THAT THE SERVICES, LISTINGS, MESSAGES, AI OUTPUT, SELLER ANALYTICS, OR THIRD-PARTY SERVICES WILL BE ACCURATE, COMPLETE, CURRENT, UNINTERRUPTED, SECURE, ERROR-FREE, OR SUITABLE FOR YOUR PURPOSE. BIGEQ DOES NOT WARRANT A USER, HORSE, ITEM, SERVICE, PAYMENT INSTRUCTION, TRANSACTION, OR OUTCOME.

Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

19. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, BIGEQ AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR USE, ARISING FROM OR RELATED TO THE SERVICES, USER CONTENT, AI OUTPUT, A USER TRANSACTION, OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.

IF APPLICABLE LAW DOES NOT PERMIT THE COMPLETE EXCLUSION OF LIABILITY BUT PERMITS A LIMITATION, THE AGGREGATE LIABILITY OF BIGEQ AND THOSE PARTIES FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID DIRECTLY TO BIGEQ FOR THE SERVICE GIVING RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.

These limitations do not apply to liability that cannot legally be limited or excluded. Some jurisdictions do not allow certain limitations, so some provisions may not apply to you.

20. User disputes and indemnification

TO THE FULLEST EXTENT PERMITTED BY LAW, BIGEQ IS NOT RESPONSIBLE FOR A USER'S LISTING, STATEMENTS, CONDUCT, HORSE, PAYMENT, AGREEMENT, OR PERFORMANCE.

Any disagreement or claim concerning a listing, horse, communication, payment, sale, lease, service, or other user-to-user transaction is solely between the users involved. BIGEQ is not a party and has no obligation to investigate, mediate, arbitrate, participate in, or resolve the matter. Each user must pursue any refund, damages, enforcement, or other remedy directly from the other user, not BIGEQ.

BIGEQ may review a report, remove content, restrict an account, preserve information, or comply with applicable law or valid legal process. Doing so does not make BIGEQ a party to the transaction or responsible for a user's conduct or the outcome of a dispute.

If a third party nevertheless makes a claim against BIGEQ arising from or related to your User Content, listing, transaction, statements, conduct, use or misuse of the Services, violation of law or another person's rights, or breach of these Terms, then, to the fullest extent permitted by law, you agree to indemnify and hold harmless BIGEQ and its affiliates, officers, employees, agents, and service providers from that claim and any resulting damages, liabilities, judgments, losses, costs, and expenses, including reasonable attorneys' fees and costs.

21. Governing law, international users, and disputes

BIGEQ is based in Massachusetts, United States. These Terms and your use of the Services are governed by the laws of the Commonwealth of Massachusetts and applicable federal laws of the United States, without regard to conflict-of-law principles. If you use the Services from outside the United States, you agree to this governing-law provision and are responsible for following any local laws that apply to your use.

Except where applicable law requires otherwise, any dispute arising out of these Terms or the Services must be brought in the state or federal courts located in Massachusetts, and you and BIGEQ consent to those courts' jurisdiction. Either party may bring an eligible claim in small-claims court. Nothing in these Terms limits any consumer or other right that applicable law does not allow you to waive.

22. General terms

These Terms and incorporated feature-specific terms are the entire agreement between you and BIGEQ concerning the Services they govern. They do not create a partnership, joint venture, employment, fiduciary, brokerage, or agency relationship between you and BIGEQ.

You may not assign these Terms without BIGEQ's written consent. BIGEQ may assign them in connection with a merger, acquisition, financing, reorganization, or sale of all or substantially all relevant assets, or to an affiliate, subject to applicable law.

BIGEQ is not liable for delay or failure caused by events beyond its reasonable control. Failure to enforce a provision is not a waiver. If a provision is found unenforceable, it will be enforced to the maximum lawful extent and the remainder will continue. Headings are for convenience.
